Organizer Membership and Event Services Agreement - V3
For Event Publishing, Promotion, Ticket/Reservation Sales, Box Office Operations, Digital Products and Payment Integrations
This version separately addresses organizer-owned payment processors, merchant/seller roles, invoicing and tax, digital products, memberships, flexible/deferred payment risks, transfers, refunds and chargebacks.
1. Parties and Company Information
SERVICE PROVIDER / PLATFORM: The primary operator of the Gobuyevent brand is GPM Invest & Trade Inc. Depending on the Organizer's country, payment flow and services used, the contracting service-provider entity may be GPM Invest & Trade Inc. or BBPAF LTD, as identified in the Organizer panel, transaction flow or commercial addendum.

ORGANIZER means the individual or legal entity that opens an Organizer account on Gobuyevent and publishes events or offers tickets, reservations, memberships, season products, digital access or other eligible services to customers.
2. Independence of the Parties
The parties have a platform/service relationship. Unless expressly agreed in writing, this Agreement does not create a partnership, franchise, employment relationship, distributorship, general agency or general authority for either party to bind the other.
Gobuyevent is not the producer or actual organizer of the Organizer's event. Gobuyevent provides platform, ticketing, sales, supported payment integration and operational tools. The Organizer remains independently responsible for its events and customer commitments.
3. Scope of Platform Services
Gobuyevent may provide event publishing and promotion, online ticket/reservation sales, ticket categories and quotas, campaigns/promotions, social sales links, physical box-office/sales points, cash/card/online sales recording, QR/barcode validation, reporting and eligible payment-plan tools.
Eligible products may include memberships, season tickets, courses/training registrations, webinars, live streams, online classes, video/digital content and similar offerings. Event publishing and promotion may be free under current platform policy; transaction commissions or service fees may apply to paid transactions.
4. Organizer Account, Verification and Authorization
The Organizer manages events, prices, quotas, sales channels, payment plans and campaigns through the Organizer panel. The Organizer is responsible for account access, user roles, passwords and API/integration credentials.
Gobuyevent or an applicable payment provider may request KYC/KYB, tax, banking, beneficial-owner, sanctions, fraud-prevention or event-authorization documents. Missing or unverifiable information may result in limits or suspension.
5. Event Information, Permits and Organizer Responsibility
The Organizer is responsible for the accuracy, currency and legality of event name, descriptions, images, date/time, venue, capacity, ticket prices, taxes, age/admission rules, accessibility information, transfer/refund terms and all other event information.
The Organizer is solely responsible for producing and performing the event, artist/speaker/performance commitments, licenses and copyrights, venue and public permits, security, health, staffing, insurance, tax and sector-specific obligations. The Organizer represents that it has rights to all content uploaded to the platform.
6. Pricing, Capacity and Sales Conditions
Ticket/reservation prices, quotas, sales periods, seating plans, discounts, campaigns and event-specific conditions are set by the Organizer. Except for technical or legal requirements, Gobuyevent does not set the Organizer's event price.
The Organizer ensures that the total price and mandatory charges shown to customers are accurate. Gobuyevent may temporarily pause affected sales and request correction in cases of overselling, technical error, fraud, legal risk or payment risk.
7. Seller / Service Provider Identity, Merchant Structure, Invoicing and Tax
Unless expressly stated otherwise at checkout, the Organizer is the legal seller/service provider of the event to the customer. The transaction flow should identify the seller, collecting party and payment processor in a clear and distinguishable manner.
The Organizer is responsible for issuing required invoices, receipts, tax documents and filings for its own event sales. Gobuyevent may separately issue an invoice or equivalent document for its commission or platform services.
Collection through a Gobuyevent company or third-party payment provider does not, by itself, transfer the Organizer's seller status to Gobuyevent. Any merchant-of-record, reseller or similar alternative structure must be expressly identified in the transaction flow and applicable commercial terms.
8. Commission, Service Fees and Financial Reconciliation
The applicable commission, per-ticket fee, card/processing cost and other commercial charges are shown in the Organizer panel, pricing page or commercial addendum accepted by the parties. Promotional rates apply only to transactions expressly within their stated scope.
The Organizer may review ticket quantities, gross sales, deductions, commissions, refunds, chargebacks and payment status in the available reporting tools. Gobuyevent may calculate the Organizer balance after deducting applicable commission, processing fees, refunds, chargebacks, taxes or other authorized amounts from funds collected through Gobuyevent-supported flows.
Where funds are collected directly into the Organizer's own account, Gobuyevent commission and service fees still apply. If technical split/automatic deduction is available, fees may be deducted at transaction time; otherwise Gobuyevent may invoice or debit the Organizer based on platform reports. The reporting period and due date are stated in the panel or commercial addendum.
9. Organizer's Own Card Processor / Payment Service Provider
Where technically supported and after required connection/verification steps are completed, the Organizer may use its own bank acquiring agreement, virtual POS or licensed card/payment processor or PSP.
In this model, the card transaction may be processed by the Organizer's provider and funds may settle directly into the Organizer's merchant/payment account without passing through a Gobuyevent account. Gobuyevent provides integration and transaction workflow and does not become a bank, card acquirer, payment institution or fund custodian merely because of that integration.
The Organizer is responsible for its own provider contract, pricing and reserves, KYC/KYB, applicable PCI DSS/3D Secure obligations, API credentials, fraud controls, refunds, chargebacks, tax and customer invoicing.
Gobuyevent does not store full payment card details. Card numbers and security data are processed by the bank, card processor or PSP. Gobuyevent may receive only limited tokenized or transaction metadata necessary to operate the integration and maintain records.
Commission treatment for Gobuyevent-tracked sales collected through the Organizer's own PSP, physical POS or cash box office is determined in the panel or commercial addendum. Diverting a commissionable transaction outside the platform for the purpose of avoiding platform fees may constitute a breach of this Agreement.
Gobuyevent may pause or require updates to an integration due to technical incompatibility, information-security concerns, compliance requirements, sanctions, fraud risk or payment-provider policies. Gobuyevent does not guarantee uptime, authorization approval or settlement timing controlled by the Organizer's own provider.
10. Flexible / Deferred Payment Plans and Risk Allocation
The Organizer may offer flexible or deferred payment plans for eligible long-duration events, courses, training programs, camps, workshops, academies or similar products. The Organizer determines and discloses the total price, down payment, installment amounts, payment dates, number of payments and other plan conditions before sale.
The installment/deferred sale is a commercial arrangement between the Organizer and the customer. Gobuyevent is not a party to that credit or deferred-payment arrangement, is not a lender, is not a credit institution and is not a financial institution. Gobuyevent does not perform underwriting, extend credit, guarantee payment or assume the customer's debt.
All risks arising from the installment/deferred sale are borne by the Organizer, including non-payment, late payment, default, bad debt, collection, customer disputes, affordability or credit-assessment duties where applicable, regulatory licensing/compliance, tax treatment, refunds and chargebacks. Gobuyevent's role is limited to providing the technical workflow and supported payment/collection integration.
If future automatic charges are used, the Organizer ensures that the required customer disclosures and valid authorization are obtained and that charges occur only for permitted amounts and dates. Retry rules, access suspension, plan termination and outstanding-balance consequences must be disclosed in the customer-facing plan terms before purchase.
11. Physical Box Office and Event Admission
The Organizer may establish one or more ticket/sales points at event entrances, venues or other selected locations and may record cash, card or online sales where supported. Box-office personnel, cash security, POS devices, local invoicing/tax and physical operations are the Organizer's responsibility.
Ticket validation may be performed using compatible mobile devices or other supported methods. The Organizer is responsible for correct admission procedures and reasonable anti-abuse controls.
12. Memberships, Season Products, Online Events and Digital Content
If the Organizer offers memberships, season tickets, automatic renewal, online classes, webinars, live streams, videos or digital content, it must disclose the duration, access conditions, renewal/cancellation method, device/technical requirements and material usage restrictions before sale.
The Organizer is responsible for copyright and usage rights in digital content and for obtaining customer authorization required for any automatic renewal or recurring collection.
13. Cancellation, Refunds and Ticket Transfers
Unless the event is cancelled, ticket purchases are non-refundable. Postponement, date/time change, venue change, program or lineup change, customer inability to attend, late arrival or failure to satisfy admission rules does not create a refund right, except where a non-waivable rule requires otherwise.
Customers may transfer valid tickets to another person through the transfer method supported by Gobuyevent or the Organizer. The Organizer must honor a valid transfer where the transferee satisfies applicable identity, age, membership, venue, security and event-specific admission requirements. Transfer does not authorize commercial resale unless separately permitted.
If the event is cancelled, the Organizer must notify Gobuyevent as early as reasonably possible and fund all required customer refunds attributable to its event. Refund amounts may be offset against the Organizer's balance. If the balance is insufficient, the Organizer must promptly provide the required amount to Gobuyevent or the relevant payment provider. Where sales were collected through the Organizer's own PSP, refunds may need to be processed through that PSP account.
14. Chargebacks, Fraud and Payment Disputes
For a chargeback, fraud claim or payment dispute, the Organizer provides timely evidence of ticket issuance/use, admission records, customer communications and event performance. Financial consequences caused by Organizer cancellation, non-performance, misleading information, defective/incomplete service or legal non-compliance are borne by the Organizer to the extent attributable to the Organizer.
Gobuyevent or the payment provider may apply reserves, delayed settlement or enhanced verification for risk-management purposes where permitted by applicable terms. Any special reserve rates or conditions are stated in the relevant commercial addendum or payment terms.
15. Customer Data, Privacy and Group Companies
The Organizer may use customer data received through Gobuyevent only for event performance, admission control, required notifications, support, compliance and purposes separately authorized by the customer.
The Organizer may not disclose personal data to unauthorized third parties, retain it longer than necessary or use it for its own marketing without the required legal basis or permission. Each party is responsible for data within its control.
Gobuyevent may share information within the Gobuyevent group, including GPM Invest & Trade Inc. and BBPAF LTD, where reasonably necessary for service delivery, support, fraud prevention, security, accounting, compliance, analytics and group operations, subject to applicable data-protection requirements and appropriate safeguards.
16. Prohibited Events and Content
The Organizer may not publish unlawful, misleading, infringing, fraudulent or payment-provider-prohibited events, products or services. Gobuyevent may remove content or pause sales where there is a serious compliance, safety, fraud or rights-infringement risk.
17. Promotion and Marketing
Publishing and promoting an event on Gobuyevent may be free under the platform's current policy. Paid advertising, sponsored campaigns or third-party media buying may be offered as separate paid services.
The Organizer may share sales links through social media, websites, email and other channels. The Organizer is responsible for the accuracy of claims, prices and campaign terms used in its own communications.
18. Intellectual Property License
The Organizer grants Gobuyevent a worldwide, non-exclusive, royalty-free license during the Agreement term to host, display, reproduce and use logos, posters, images, videos, descriptions and similar content uploaded by the Organizer for the purposes of publishing, promoting and selling the event. This license does not transfer ownership.
19. Service Availability and Technical Operations
Gobuyevent uses reasonable technical efforts to keep the platform secure and available. Temporary interruptions may occur due to maintenance, security incidents, payment-provider issues, telecom/internet infrastructure or force majeure. The Organizer should maintain reasonable contingency procedures for its own event operations.
20. Force Majeure
Natural disasters, epidemics, war, terrorism, government action, strikes, infrastructure failure, widespread internet/energy outage and similar events outside a party's reasonable control may constitute force majeure. Force majeure does not automatically eliminate any customer-notification or refund obligation that cannot legally or contractually be avoided.
21. Suspension and Termination
An Organizer account may be temporarily suspended for material breach, serious customer complaints, legal non-compliance, fraud, payment risk, misrepresentation, prohibited activity or a payment-provider requirement.
Either party may terminate the relationship in a manner that reasonably protects active events and existing customer rights. Termination does not eliminate accrued fees, refund obligations, chargebacks, taxes or data-retention duties.
22. Notices and Electronic Records
Registered account email addresses and panel notifications may be used for ordinary operational communications. Gobuyevent's contractual contact address is collab@gobuyevent.com. Where a formal notice method is legally required, the applicable formal process remains available.
Panel, sales, payment, email and transaction logs may be used as evidence of the parties' transactions to the extent permitted by applicable law.
23. Liability and Indemnification
Each party is responsible for direct loss caused by its own fault, breach of this Agreement or legal non-compliance. The Organizer is specifically responsible for event content and performance, customer promises, copyright/licensing, tax, permits, safety, its own payment provider and the installment/deferred sale risks allocated to it under Section 10.
Nothing in this Agreement excludes liability that cannot lawfully be excluded or limited.
24. Applicable Law and Dispute Resolution
The parties should first attempt to resolve disputes through written notice and good-faith negotiation. For commercial Organizer relationships, the governing law, competent forum or arbitration mechanism may be specified in the Organizer panel or a commercial addendum based on the applicable Gobuyevent entity, the Organizer's country and the transaction structure.
25. Effect, Addenda and Priority
This Agreement becomes effective upon the Organizer's electronic acceptance or the parties' signatures. Pricing, payments, transaction country, payment-processor integration, transfer/refund, reserve/chargeback and other commercial addenda form part of the Agreement.
In the event of a direct conflict, the more specific and more recent written/electronic addendum for the relevant event or commercial relationship prevails, subject to any non-waivable law. Invalidity of one provision does not affect the remaining provisions.
